Terms of Service

1. Service Description

ViddyScribe provides video processing and audio description services. Our platform processes videos to generate descriptive audio content using artificial intelligence and machine learning technologies.

"You" and "User" refer to any individual or entity accessing or using the Services.

"ViddyScribe" means ViddyScribe Inc. The "Services" include ViddyScribe's website, web application, APIs, and ViddyScribe-provided apps, plugins, and connectors. A "Third-Party AI Integration" is a connection that you choose to enable between your ViddyScribe account and an available AI platform, such as ChatGPT or Claude. The AI platform itself is provided by its operator under its own terms.

2. User Responsibilities

Users must ensure they have the necessary rights and permissions for any video content uploaded to our platform. Users are responsible for the accuracy and appropriateness of all content submitted to ViddyScribe.

If you enable or use a Third-Party AI Integration on behalf of an organization, you must have authority to connect the account, instruct the actions, and disclose the content involved. An owner or admin of the team must turn on each AI platform for that team before anyone can connect it, and can turn it off at any time. You must comply with your organization's policies and any applicable confidentiality, data-protection, or contractual restrictions.

3. Content Guidelines

Users agree not to upload any content that:

• Infringes intellectual property rights
• Contains explicit or inappropriate material
• Violates applicable laws
• Contains harmful code

These guidelines apply equally to content submitted, retrieved, or acted on through a Third-Party AI Integration, including content already stored in your ViddyScribe library. You must also comply with the connected platform's applicable usage rules and age requirements.

4. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. ViddyScribe makes no warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, secure, or error-free.

ViddyScribe does not guarantee the accuracy, completeness, or reliability of any audio descriptions generated through the Services.

5. Intellectual Property

ViddyScribe retains all rights, title, and interest in and to the Services, including all software, technology, and underlying intellectual property. Except for the limited rights expressly granted in these Terms, no rights are granted to users.

6. Data Processing and Security

By using the Services, you acknowledge that video content you upload will be processed by ViddyScribe and its subprocessors for the sole purpose of providing the Services.

You grant ViddyScribe a limited, non-exclusive license to host, process, reproduce, and transmit uploaded content solely as necessary to provide the Services.

ViddyScribe does not use user-uploaded content to train machine learning models, and contractually prohibits its subprocessors from doing so, except as expressly authorized by you.

ViddyScribe utilizes infrastructure providers that maintain SOC 2 compliance. ViddyScribe maintains reasonable administrative, technical, and physical safeguards designed to protect customer content against unauthorized access, disclosure, alteration, or destruction.

6.1 Third-Party AI Integrations

Connecting and sharing. Before enabling a connection, review the access request, these Terms, and our Privacy Policy. Each connection works only for the one team you choose when connecting, and only while an owner or admin of that team keeps that AI platform turned on. It acts within your team role: viewers can read but cannot create, edit, or use credits, billing-only contacts cannot use it, and it cannot reach another team's content. By authorizing the connection and requesting an action, you authorize ViddyScribe to exchange with the selected platform the information needed to perform that action, within the access granted to your account and team role. This may include account and team details, credit balance, video and job information, description scripts, transcripts, captions, edits, generation settings, and links to generated files. Information returned to the platform may become part of your chat. Our Privacy Policy describes this exchange in more detail.

Independent platform processing. The platform provider's terms, privacy policy, account settings, and any agreement with you govern its processing of information in its service, including any model-training use. ViddyScribe's no-training commitments above apply to ViddyScribe and its subprocessors, and do not determine how a platform you independently choose processes information you make available to it. Connecting a platform does not give ViddyScribe additional rights to train models on your content.

Restricted information. You must not use a Third-Party AI Integration, including ChatGPT or Claude, to submit, request, retrieve, or expose medical records or payment-card details. This rule covers new content and information contained in existing videos, projects, scripts, transcripts, captions, metadata, and file links. For ChatGPT connections, you must also not submit, request, retrieve, or expose HIPAA-protected health information, other PCI-regulated payment data, government-issued identifiers, passwords, API keys, or other authentication secrets. Use the designated sign-in flow to authenticate. A separate ViddyScribe enterprise agreement, data-processing agreement, or business associate agreement does not by itself authorize this use of a Third-Party AI Integration.

Children's information in ChatGPT. You must not use a ChatGPT connection to share personal information about children under 13 or under the applicable age of digital consent. The restriction applies to information in videos, scripts, transcripts, captions, metadata, and existing library content, even if an adult or organization holds the account.

Reviewing actions and outputs. AI assistants can misunderstand instructions or produce incorrect information. Review the requested project, proposed changes, and any credit charge before confirming an action, and review generated or edited content before relying on or publishing it. The disclaimers in Section 4 also apply when the Services are accessed through an integration.

Availability. A Third-Party AI Integration may offer a subset of the Services and may depend on your ViddyScribe plan, team role, supported application version, and the platform provider's account or workspace settings. A connection does not expand your ViddyScribe permissions or guarantee that every feature is available.

Disconnecting. You may remove the connection through the AI platform's app or connector settings. This does not cancel your ViddyScribe subscription, delete your ViddyScribe library, undo completed actions, or remove information already received by the platform. Work already in progress finishes, and file links already issued keep working until they expire, about 5 minutes after they are created. A team owner or admin can also turn the AI platform off for the team, which stops the connection on its next request. Requests to delete information held by ViddyScribe and by the platform must be handled separately.

Separate agreements. Any separate written agreement with ViddyScribe continues to control as provided in Section 13. Enabling an integration does not modify that agreement or authorize a disclosure prohibited by it.

7. Subscription and Payments

Users agree to pay all fees for their subscription plan. Fees are non-refundable except where required by law. We may modify pricing with appropriate notice.

You are responsible for any applicable taxes associated with your subscription.

Failure to pay fees when due may result in suspension or termination of access.

For Third-Party AI Integrations, credit-using actions draw from your existing ViddyScribe team balance under your applicable plan. Review the quoted credit cost before authorizing the action. A new description or a render never costs more than the amount you approved; if the price would be higher, nothing starts and you are asked again. Approving the same action again while it is still running does not start or charge a second job. A translation is charged at the rate shown before you confirm. New descriptions and translations that fail are not charged. A failed render can be retried once at no extra cost; if it fails again, contact support.

Connecting an integration is not approval for all future credit-using actions and does not itself purchase credits or change your subscription. Any fees charged by the AI platform provider are separate from ViddyScribe's fees.

8. Limitation of Liability

Except for a user's payment obligations and an Enterprise Customer's indemnification obligations under Section 9.7, to the maximum extent permitted by law, ViddyScribe's aggregate liability arising out of or related to the Services will not exceed the total fees paid by the user to ViddyScribe in the twelve (12) months preceding the event giving rise to the claim.

In no event will ViddyScribe be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

The foregoing limitations do not limit a user's obligation to pay fees owed under these Terms.

9. Enterprise Customers

9.1 Definitions

An "Enterprise Customer" is a business or organization that subscribes to an enterprise-level plan, including the Starter plan, or otherwise activates an enterprise subscription through direct communication with ViddyScribe.

Enterprise Customers may be governed solely by these Terms unless a separate written agreement is executed.

9.2 Enterprise Marketing Rights

Unless otherwise agreed in writing, Enterprise Customer grants ViddyScribe a non-exclusive, worldwide, royalty-free right to use Customer's name and logo solely to identify Customer as a user of the Services on ViddyScribe's website and marketing materials.

Enterprise Customer may opt out of such use at any time by written notice to support@viddyscribe.com. ViddyScribe will remove the Customer's name and logo within a commercially reasonable period following such request.

9.3 Scope of Use

Enterprise Customers are granted a limited, non-exclusive, non-transferable right to access and use the Services for their internal business purposes in accordance with their subscription plan.

Access and usage may be subject to limits based on number of users, usage volume, API calls, storage, or other metrics as described in the applicable plan.

9.4 Subscription, Cancellation, and Termination

Enterprise Customers may be entitled to service level commitments (e.g., uptime, support response times) as detailed in a separate Service Level Agreement.

Enterprise subscriptions operate on a recurring billing basis. There are no fixed minimum terms unless otherwise agreed in writing.

Enterprise Customers may cancel at any time. Access will continue through the end of the current billing period, after which the subscription will terminate.

9.5 Data Ownership

Enterprise Customers retain ownership of all content they upload to the Services. ViddyScribe obtains no ownership rights in such content, except as necessary to provide the Services in accordance with these Terms.

9.6 Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Each party agrees to use reasonable care to protect the other party's Confidential Information and not disclose it except as necessary to perform under these Terms or as required by law.

9.7 Indemnification

Enterprise Customer will indemnify, defend, and hold harmless ViddyScribe and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Enterprise Customer's content, including any allegation that such content infringes or misappropriates third-party rights; (b) Enterprise Customer's use of the Services in violation of these Terms or applicable law; or (c) any breach of these Terms by Enterprise Customer.

9.8 Limitation of Liability

Enterprise Customers are subject to the Limitation of Liability section above unless otherwise agreed in a written agreement.

10. Termination

ViddyScribe may suspend or terminate access to the Services for material breach of these Terms, non-payment, suspected fraud or abuse, or where required by law. Users may cancel their subscription at any time, with access continuing through the end of the current billing period.

Sections that by their nature should survive termination, including Intellectual Property, Indemnification, Limitation of Liability, and Governing Law, will survive termination.

11. Severability

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

12. Assignment

Users may not assign these Terms without ViddyScribe's prior written consent. ViddyScribe may assign these Terms in connection with a merger, acquisition, or sale of assets.

13. Entire Agreement

These Terms constitute the entire agreement between you and ViddyScribe regarding the Services. If you have entered into a separate written agreement with ViddyScribe (such as a Master Services Agreement, Enterprise Agreement, or similar), that agreement will control in the event of any conflict with these Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

15. Changes to Terms

We may update these terms from time to time. Continued use after changes constitutes acceptance.
